By accessing and using Shadowplay (the "Platform"), you agree to be bound by these Terms of Service. If you do not agree to any part of these terms, you must not use the Platform. You acknowledge that you are at least 18 years old and possess the legal capacity to enter into a binding agreement. Users under 18 may use Shadowplay only with parental consent and supervision. We reserve the right to modify these terms at any time. Changes will be effective 14 days after posting to this page. Your continued use of the Platform following such posting constitutes acceptance of the modified terms.
Shadowplay provides a competitive online gaming platform where users can participate in tournaments, matches, and community events across multiple game titles. The Platform facilitates real-time multiplayer competitions, manages player rankings, distributes prize winnings, and maintains a social community. Shadowplay may feature games developed by third parties, and we are not the publisher or developer of such games. We provide the infrastructure, matchmaking, tournament management, and payment services. Participation in tournaments may involve entry fees and prizes. The availability of specific games and tournaments may change without notice.
You agree to use Shadowplay only for lawful purposes and in a way that does not infringe upon the rights of others or restrict their use and enjoyment of the Platform. Specifically, you agree not to:
All content on the Platform, including text, graphics, logos, images, and software, is the exclusive property of Shadowplay Gaming Ltd or its content suppliers and is protected by international copyright laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for personal, non-commercial purposes. You may not reproduce, distribute, modify, or transmit any content without our prior written consent. User-generated content such as usernames, profiles, and tournament records remain your property, but you grant Shadowplay a worldwide, perpetual, royalty-free license to display and use such content on the Platform and in marketing materials. Game titles, characters, and assets belong to their respective publishers and developers.
The Platform is provided on an "as is" and "as available" basis without warranties of any kind. To the fullest extent permitted by law, Shadowplay disclaims all express and implied warranties, including:
We do not guarantee that matches will be fair, that rankings are accurate, or that tournament outcomes are free from technical errors. The Platform's services are subject to interruption for maintenance, updates, or circumstances beyond our control. We are not liable for any technical failures, server outages, or data loss.
To the maximum extent permitted by applicable law, Shadowplay shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, revenue, data, or business opportunities. This limitation applies even if Shadowplay has been advised of the possibility of such damages.
Our total liability for any claim arising out of or relating to these terms or the Platform shall not exceed the total amount you have paid to Shadowplay in the 12 months preceding the claim. If you have not made any payments, our liability is limited to $50 USD. Some jurisdictions do not permit the exclusion of certain warranties or limitation of liability, so these provisions may not apply to you in full.
You agree to indemnify, defend, and hold harmless Shadowplay Gaming Ltd, its officers, directors, employees, and agents from any and all claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from: (1) your use of the Platform; (2) your violation of these Terms of Service; (3) your violation of any applicable law or regulation; or (4) infringement of any third-party intellectual property or privacy rights. Shadowplay reserves the right to assume the defense of any such claim, and you agree to cooperate fully with our legal counsel.
The Platform may contain links to third-party websites, applications, and services that are not operated by Shadowplay. We do not control, endorse, or assume responsibility for the content, accuracy, or practices of these external sites. Your use of third-party services is governed by their respective terms and privacy policies. Shadowplay is not liable for any damages or losses resulting from your interaction with linked websites or third-party content. We encourage you to review the terms and policies of any third-party service before providing personal information or engaging with its content.
Your use of the Platform is subject to our Privacy Policy, which is incorporated herein by reference. The Privacy Policy describes how we collect, use, disclose, and protect your personal information. By using Shadowplay, you consent to our collection and processing of data as outlined in the Privacy Policy. You are responsible for maintaining the confidentiality of your account credentials. You agree to immediately notify us of any unauthorized use of your account. Shadowplay is not liable for any loss or damage resulting from unauthorized access to your account.
Tournament entry fees and prize structures are displayed at the time of entry. All prices are in USD unless otherwise stated. Payment methods include credit cards, digital wallets, and bank transfers. By submitting payment information, you authorize Shadowplay to charge your payment method. Prize winnings are distributed within 5 business days of tournament completion. Withdrawals are subject to a minimum balance of $5. Prize funds are held in trust and disbursed according to tournament results verified by our system and moderation team.
Shadowplay reserves the right to withhold prize payouts pending investigation of potential fraud, cheating, or violation of these terms. Users are responsible for reporting any tournament irregularities within 48 hours of match completion. Prize distributions may be delayed if payment methods fail or if account information is inaccurate. Unclaimed prizes after 12 months may be forfeited.
These Terms of Service shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles. You agree that any legal action or proceeding arising from these terms or your use of the Platform shall be brought exclusively in the courts located in London, England. By using Shadowplay, you irrevocably submit to the jurisdiction of these courts and waive any objection to venue or inconvenient forum.
Before initiating any legal action, you agree to attempt informal resolution by contacting our support team at [email protected] with a detailed description of your dispute. We will attempt to resolve the matter within 30 days. If informal resolution fails, disputes may be resolved through binding arbitration administered by a mutually agreed-upon arbitrator, or through the courts of England and Wales as specified in Section 11.
For tournament-related disputes, decisions made by our moderation team are final and binding, subject only to appeal through our formal dispute process. Appeals must be submitted within 7 days of the original decision and must include substantive evidence of error.
Shadowplay may suspend or terminate your account and access to the Platform immediately, without notice or cause, if we believe you have violated these Terms of Service or engaged in conduct that is harmful to the Platform, other users, or Shadowplay. Grounds for termination include but are not limited to: cheating, fraudulent activity, harassment, abuse, unauthorized access attempts, or repeated violations. Upon termination, your right to use the Platform ceases immediately. Shadowplay is not liable for any loss of data, rankings, or prize eligibility resulting from account termination. You may appeal a termination decision by contacting [email protected] within 14 days, providing evidence of why the termination was unjustified.
Shadowplay reserves the right to modify these Terms of Service at any time. Material changes will be posted on this page and you will be notified via email or a prominent banner on the Platform. Changes become effective 14 days after posting, unless a longer notice period is required by applicable law. Your continued use of the Platform after the effective date constitutes acceptance of the updated terms. If you do not agree to the changes, you must discontinue using Shadowplay.
